Terms of Sale & Returns Policy

Legal entity: Cognitron Robotics Inc (“Cognitron,” “we,” “us”)Applies to: Purchases and leases made through our website, by quote, or by invoice/PO (Canada and the United States). 

1) Agreement to these terms

By placing an order, signing a quote, paying an invoice, or accepting delivery of products or services from Cognitron, you agree to this Terms of Sale & Returns Policy (the “Terms”). If you do not agree, do not purchase, lease, or use our products/services.

2) Quotes, orders, and acceptance

  • Quotes are valid for the period stated on the quote (or, if not stated, for a reasonable period).
  • Order acceptance occurs when we confirm your order in writing, issue an invoice, or deliver the product—whichever happens first.
  • We may refuse or cancel orders (including for pricing errors, suspected fraud, or supply constraints). If we cancel after payment, we’ll refund amounts paid for the cancelled portion.

3) Pricing, taxes, and payment

  • Pricing is in the currency shown on your quote/invoice/checkout.
  • Taxes and duties: You are responsible for applicable sales taxes (e.g., GST/HST/PST in Canada; state/local sales tax in the US), customs duties, brokerage fees, and import-related charges unless your quote/invoice states otherwise.
  • Payment terms are as stated on the invoice/checkout. Late payments may result in shipment delays, service suspension, or additional fees as permitted by law.

4) Shipping, delivery, and risk of loss

  • Delivery timelines are estimates unless explicitly guaranteed in writing.
  • Shipping terms (carrier, method, Incoterms if applicable) are as stated on the quote/invoice. If not stated, we will select a reasonable method.
  • Risk of loss / title transfers as stated on your quote/invoice; if not stated, risk of loss transfers upon delivery to the carrier.
  • Inspection on arrival: Please inspect shipments immediately and report visible damage or missing items within 48 hours of delivery (or the timeframe required by the carrier, if shorter).

5) Installation, training, and services

If your purchase includes installation, configuration, training, or other services, the scope, timing, and fees will be as stated in your quote/invoice or service agreement.

6) Returns (general policy)

Because many robotics products are high-value and may be configured, programmed, or special-ordered, return eligibility depends on the product type and condition.

6.1 Return authorization required

  • All returns require prior written approval and a Return Authorization (RA) from Cognitron.
  • Returns sent without an RA may be refused or returned to sender.

6.2 Return window

  • Unless otherwise stated on your quote/invoice, eligible returns must be requested within 14 days of delivery.

6.3 Condition of returned items

To be eligible, items must be:

  • In like-new condition (no damage, excessive wear, or misuse)
  • Returned with all accessories, manuals, packaging, and components
  • Not altered, disassembled, or modified (unless authorized by Cognitron)

6.4 Non-returnable items (typical)

Unless required by law or explicitly approved in writing, the following are generally not returnable:

  • Special-order or custom-configured products and discounted products
  • Products with software activation, licensing, or registration tied to the buyer (where reversal is not possible)
  • Used consumables, parts, or items marked final sale

6.5 Restocking fees and shipping

  • Approved returns may be subject to a restocking fee (amount depends on product type/condition and will be disclosed during RA approval).
  • Original shipping fees are non-refundable unless the return is due to our error.
  • Customer is responsible for return shipping and insurance unless the return is due to our error or a verified defect/DOA.

7) Damaged, defective, or DOA (dead on arrival)

  • If your product arrives damaged or appears defective on arrival, contact us within 48 hours of delivery.
  • We may require photos/video, serial numbers, and packaging details to support a carrier claim or warranty evaluation.
  • Remedies may include replacement parts, repair, exchange, or other manufacturer-warranty process, depending on the issue.

8) Refunds

  • If a return is approved, refunds (if applicable) are issued to the original payment method or via the original invoicing channel.
  • Refund timing depends on inspection and processing by Cognitron and/or the manufacturer.
  • If the returned item is not in eligible condition, we may deny the refund or apply deductions for missing/damaged components.

9) Cancellations

  • Order cancellations must be requested in writing.
  • If an order is already shipped, it will be treated as a return (if eligible).
  • Special-order/custom items may not be cancellable once placed with the manufacturer.

10) Warranty and support

  • Products may include a manufacturer warranty (terms vary by model/manufacturer). Warranty coverage typically excludes damage from misuse, accidents, unauthorized modifications, improper maintenance, or operation outside recommended conditions.
  • Any Cognitron support, maintenance plans, or extended coverage will be described in your quote/invoice or service agreement.
  • Customers are responsible for performing regular maintenance, including cleaning the robot wheels. Any malfunctions or damage resulting from a lack of maintenance will void the warranty immediately.

11) Software, apps, and third-party services

Some products rely on third-party software, apps, cloud services, or manufacturer portals. Your use may be subject to third-party terms. Cognitron is not responsible for third-party outages or changes beyond our control.

12) Limitation of liability

To the maximum extent permitted by law:

  • Cognitron is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, or business interruption).
  • Cognitron’s total liability related to any order or product is limited to the amount paid for the specific product/service giving rise to the claim.

13) Indemnity

You agree to indemnify and hold harmless Cognitron from claims arising out of your misuse of products, violation of these Terms, or violation of applicable laws/regulations.

14) Compliance and export

You agree to comply with applicable Canadian and US laws, including import/export controls, sanctions, and local regulatory requirements for operation and deployment.

15) Governing law

Unless otherwise required by applicable law:

  • For Canadian customers, these Terms are governed by the laws of the applicable Canadian province/territory where Cognitron is based or where the transaction occurs.
  • For US customers, applicable cross-border rules may apply; any mandatory consumer protections under your local jurisdiction remain in effect.

16) Changes to these Terms

We may update these Terms from time to time. The version in effect at the time of your order will generally apply to that order unless required by law.
